License No. 1058/QĐ-UBCK dated December 15, 2010, issued by the State Securities Commission, authorizes the Company to provide online securities trading services.
Advantages of the service: Offers utilities and allows customers to perform one or multiple types of transactions through online telecommunications means.
- Risks that customers may encounter during online trading include:
- We are not responsible if customers disclose their access passwords, trading passwords, or misplace authentication devices. If you suspect unauthorized use of your access credentials or trading functions, please notify the Company immediately for timely resolution.
- We are committed to providing you with the best service and minimizing possible technical risks. Thank you for trusting and choosing our online trading service.
Technical errors in hardware or software may occur;
The risk of system network interruption due to congestion;
The system may be infected with viruses, interrupting the exchange of information;
Trading orders may be suspended, delayed, or contain data errors;
Identification of organizations or investors may be incorrect or flawed;
The securities price board and other securities information may contain errors or discrepancies;
Risks due to machinery malfunction, data processing issues, telecommunications disruptions, natural disasters, or any other event beyond RONG VIET’s control, or as a result of fraud or forgery;
Force majeure events as stipulated by law, such as natural disasters, floods, fires.
ARTICLE 1: GENERAL ACKNOWLEDGMENT
The terms and conditions outlined below, together with the content stated in the Registration Form for Online Trading Services and the content of the Securities Trading Account Opening Agreement, constitute a service agreement between RONG VIET and the customer. Accordingly, RONG VIET permits the customer to conduct transactions within the scope of utilities or trading limits set by RONG VIET from time to time.
The customer is responsible for carefully reading and reviewing the content of these terms and conditions prior to using the service.
By signing the Registration Form for Online Trading Services and/or by using/executing transactions, both the customer and RONG VIET agree to be bound by and comply with these terms and conditions.
- "RONG VIET" refers to Rong Viet Securities Corporation, headquartered at 141 Nguyen Du, Ben Thanh Ward, District 1, Ho Chi Minh City, Vietnam, holding Business License No. 32/UBCK-GPĐKKD issued by the State Securities Commission on December 21, 2006.
- "Customer" refers to an individual or organization that has signed a Securities Trading Account Opening Agreement with RONG VIET, has been assigned an account number by RONG VIET, and has registered to use RONG VIET's online trading services.
- "Service" refers to the online trading service under which RONG VIET provides utilities and permits the customer to conduct one or more types of transactions via online telecommunications channels.
- "Transaction" refers to online transactions including but not limited to: placing buy/sell orders for securities, checking cash balances, checking securities holdings, and other utilities provided by RONG VIET from time to time.
- "System" refers to the online trading system provided by RONG VIET for the execution of transactions, including programs, utilities, and applications available at http://online.vdsc.com.vn or through telephone or fax systems.
- "Online telecommunications means" include one or more of the following: website, application software for computers and mobile phones, and other communication means accepted by RONG VIET from time to time.
- "Login Password" is the password used to identify the customer. A successful login is considered equivalent to the customer performing a transaction in person at RONG VIET's counter.
- "Trading Password" is the password used to conduct transactions related to placing, canceling, or modifying orders. Use of the Trading Password to place order in System is equivalent to the customer signing and submitting a physical Order Form directly to RONG VIET.
- "Order Form" refers to a physical order document using RONG VIET’s printed template.
ARTICLE 2: INTERPRETATION OF TERMS
ARTICLE 3: SCOPE OF AGREEMENT
1. Services Provided to Customers:
Access to information: Investment information, market updates.
Order placement, inquiry of cash balances, securities holdings, order status, and trading history.
End-of-day trading notifications.
2. Service Delivery Methods:
including but not limited to:
Order entry software, web-based software (via internet connection).
Telephone.
Fax.
SMS.
- Customer order receiving hours are specified in RONG VIET’s trading guidelines from time to time.
- System maintenance shall not occur during official trading hours.
ARTICLE 4: SERVICE HOURS
- Upon successful registration, customers will be provided with a Login Password to access the System and a Trading Password to place orders.
- Transactions may only be performed after a successful login. Login is verified by the Login Password.
- All transactions will be validated by the System for compliance with RONG VIET’s and legal trading requirements. Only successfully validated transactions will be forwarded to the Exchange or Trading Center.
- RONG VIET does not guarantee or prioritize successful execution or forwarding of any transaction.
- Suspicious, unusual, or invalid transactions may be refused, verified, or investigated by RONG VIET prior to execution.
ARTICLE 5: TRANSACTION METHODS
- By registering for and/or performing transactions via the System, the customer agrees to authorize RONG VIET to carry out such requests and assumes full responsibility for this authorization, with no right to revoke or file claims for losses incurred.
- Transactions through the System are legally binding without requiring any further written confirmation.
- Login and transaction data provided by RONG VIET shall be considered valid proof of transaction.
- Data generated by the System regarding order placement, cancellation, and modification is deemed legally equivalent to a physical, signed Order Form submitted in person.
ARTICLE 6: TRANSACTION EVIDENCE
- Customers are responsible for maintaining the confidentiality of all account-related information, including but not limited to passwords. They are fully liable for any damages caused by failure to do so. Any potential security breach must be reported to RONG VIET immediately, followed by compliance with RONG VIET’s instructions.
- Except where required by competent state authorities, RONG VIET must keep all customer information confidential and shall not disclose it to third parties without the customer's consent.
ARTICLE 7: CONFIDENTIALITY
- Customers acknowledge and agree that RONG VIET may impose one or more service usage limits.
- RONG VIET reserves the right to define and modify the scope, form, volume, or value of service usage limitations from time to time. These limitations include, but are not limited to, maximum order size per transaction, per session, or per trading day for each customer.
ARTICLE 8: SERVICE USAGE LIMITATIONS
- Customers understand and agree that RONG VIET may impose one or more service fees. Fees will be disclosed upon registration.
- RONG VIET reserves the right to determine and adjust service fee structures from time to time, including but not limited to: annual fees, transaction fees applicable to different customer types.
ARTICLE 9: SERVICE FEES
ARTICLE 10: DISCLAIMER OF LIABILITY
RONG VIET is not liable for any losses arising from:
Customer providing delayed, incomplete, or incorrect information.
Failures by third parties (including RONG VIET's partners) providing related services or technical infrastructure.
System or technical failures, including password rejections for any reason.
Delays or failures caused by system malfunction, data processing errors, telecommunications failures, natural disasters, force majeure, fraud, or forgery.
Neither party shall be held liable for any breach or failure of this Agreement due to force majeure events such as natural disasters, floods, or fires.
ARTICLE 11: CUSTOMER COMMITMENTS
- The customer confirms they have read, understood, and agreed to the Terms of Use and any amendments issued by RONG VIET.
- The customer agrees to provide accurate, updated personal information and notify RONG VIET of any changes.
- The customer agrees to pay all service-related fees as set by RONG VIET from time to time.
- The customer acknowledges the risks inherent in online trading, including but not limited to:
Example:
Internet orders: Network disruptions may prevent order receipt or cause account credential theft.
Phone orders: Staff may mishear or mistype orders.
SMS orders: Message delays due to network congestion.
The customer accepts all risks, losses, or damages resulting from using this service.
- Manage all customer transaction data in compliance with applicable laws.
- Provide, instruct, and support the customer in using its services, and disclose the applicable fee schedule.
- Promptly inform the customer of any service interruptions or quality reductions and attempt to resolve them.
- Compensate for damages caused by RONG VIET’s errors, in accordance with legal regulations.
- Provide prior notice in case of suspension, termination, modification, or replacement of services, or changes to the Terms in compliance with the law.
ARTICLE 12: RONG VIET’S COMMITMENTS
- RONG VIET reserves the right to amend or supplement any content of these Terms, service limits, or fees at any time without prior customer consent. Changes will be publicly disclosed or sent via the customer’s registered email. RONG VIET is not responsible for cases where:
- RONG VIET reserves the right to suspend or terminate the service with prior notice, in accordance with regulations.
- In the event of any breach of the Terms, RONG VIET may suspend or terminate service provision.
- Customers may request service termination at any time, subject to RONG VIET's procedures and formal written confirmation.
ARTICLE 13: MODIFICATION, AMENDMENT, TERMINATION
Emails are not received for any reason.
Customers change email addresses without notifying RONG VIET.
- The provision and execution of online trading services are governed by the terms and conditions of the Securities Trading Agreement and other related commitments signed by the Customer with RONG VIET.
- The Customer’s registration for and use of online trading services does not exempt the Customer from any rights and obligations stipulated in the Securities Trading Agreement, related commitments signed with RONG VIET, and/or specific trading procedures as publicly notified or instructed by RONG VIET.
- Registration for online trading services does not exclude the Customer's right to execute securities transactions via direct order placement methods previously registered with RONG VIET.
- Online trading services via the Internet are provided exclusively and directly by RONG VIET to the Customer. The Customer is not permitted to authorize any third party to execute transactions on their behalf.
- The Customer is required to conduct direct and regular checks on account balances and transaction developments, and to promptly report to RONG VIET any discrepancies arising during the course of conducting online trading transactions.
ARTICLE 14: MISCELLANEOUS PROVISIONS
